Patrick is a Partner of ebl miller rosenfalck and the Head of Corporate.

Patrick seeks to build long term relationships with his clients, some of whom he has acted for over twenty years on everything from setting up a new company (shareholders’ agreements and Articles), dealing with shareholdings and the appointment of officers, through compliance issues, finance (both bringing on investors and dealing with banking and security), acquisitions and disposals of business or companies (“M&A”).  He also deals with reorganisations and demergers, usually in close association with a tax adviser.  It is helpful that Patrick started life advising on the tax implications of the types of transactions mentioned above, so remains tax literate and able to spot the problems which will need specialist tax advice.

In addition to his core corporate work, Patrick has a sound knowledge of intellectual property and an interest in technology which led to him to investigate the operation of blockchain and to advising on the law relating to cryptocurrencies.  This has considerable overlap with the law relating to the issue of securities to the public. His other main area of expertise is in the drafting of partnership and LLP agreements and the incorporation of businesses; including (in particular) of professional partnerships into LLPs.

Recent work

  • Advising across the full range of legal work for a group of on-line businesses involved in the health tech SAAS market (including investments into the holding company and loan agreements)
  • Advising an Indian conglomerate in the MLM sector on setting up business in the UK and producing a full range of legal documents to enable them to operate here
  • The acquisition of a 50% interest in a central London hotel, being the culmination of a six year process of investment and development
  • The corporate acquisition of three separate hotels outside London
  • Refinancings of various companies with property portfolios with values in excess of £20 million rising to over £50 million
