The basic service includes:
- Registered office
We will provide a registered office address for correspondence with public bodies (e.g. Companies House and HMRC) to include service of documents at our London office. We will forward post to your designated contact once weekly.
- Company secretary (LTDs)
We will maintain the statutory books which are registers of:
- Allotment of shares
- Members
- Transfers of shares
- Directors
- Company secretaries
- People with Significant Control (PSC)
- Minutes, which record the proceedings of Board meetings and shareholders’ meetings
The statutory books are normally kept at the registered office.
We will file the annual confirmation statement at Companies House and also liaise with you in relation to filing dates for audited annual accounts with the tax authorities (HMRC).
- Compliance service (LLPs)
We will maintain the registers as follows:
- Register of members
- Register of members’ residential addresses
- Details of designated members
- Register of mortgages and charges
- Minutes of meetings

We will file the annual confirmation statement at return at Companies House and also liaise with you in relation to filing dates for audited annual accounts with the tax authorities (HMRC).
Additional services
In addition to our basic services we can also offer you these additional services:
- Telephone forwarding
We can offer the company its dedicated phone number that will forward calls to the company.
- Mail forwarding
We can assist you with the forwarding of trading mail received at our London office to a designated contract. The mail will normally be scanned and emailed once weekly unless you require otherwise. The service includes receiving and signing for mail or packages delivered by courier to the London office.
- Company meetings
Company meetings such as annual general meetings and board meetings can be held at our premises in London. We will assist with the preparation of agendas for these meetings, send out notices to participants and prepare the minutes of the meetings.
- Due Diligence file
We will compile and maintain an extended compilation of the company’s documents (a Due Diligence file). This will prepare the company for a legal due diligence at any given time; e.g. in connection with a private placement or a business sale. The Due Diligence file contains – in addition to the Company Books – agreements, documents relating to intellectual property rights, financing, assets, statutory and regulatory compliance, insurance, environmental relations and labour relations.
- Dormant accounts
If the company has not been trading, we may also assist the company with preparing and filing dormant accounts at Companies House and a tax return at the Inland Revenue.
- Professional service providers.
We can introduce you to other professionals such as accountants, payroll services, estate agents, insurance brokers, banks etc. should you require local assistance.
